1. Scope

The following general terms and conditions apply to all legal transactions of the service company NP Art & Design - Natalie Pohl (hereinafter referred to as "Service Provider") with its contracting party (hereinafter referred to as "Client").

In case of individual contractual agreements that deviate from or contradict the provisions of these GTC, the individual contractual agreements take precedence.

2. Subject Matter of the Contract

2.1 The parties agree to cooperate in accordance with the specific, individual contractual agreement. The parties do not intend to establish an employment relationship and none will be created.

2.2 The Service Provider is responsible for its own social security contributions and tax matters, and indemnifies the Client from any related obligations.

2.3 The Service Provider is free to work for other clients as well.

3. Formation of the Contract

3.1 The contractual relationship for the services is concluded when the Client places an order (offer) and the Service Provider accepts it. The Client is bound by the order (offer) for two weeks.

3.2 The subject of the contract or the exact description of the tasks is outlined in the written order.

4. Contract Duration and Termination

4.1 The contract begins and ends at the individually agreed-upon time.

4.2 The contract can be terminated with notice. A notice period of two weeks to the end of the month is agreed.

4.3 A termination without notice for an important reason is possible. An important reason exists, for example, if:

  • The contractor is in arrears with two due, consecutive payments and does not pay after a reasonable grace period has passed.

  • The contractor becomes insolvent (bankruptcy, insolvency) after the contract is concluded, unless an application for the initiation of insolvency proceedings has already been filed.

  • The contractor commits serious breaches of the contractual obligations that make the continuation of the contract unreasonable.

5. Scope of Services, Duties of the Contracting Parties

5.1 The services to be provided by the Service Provider typically include the tasks detailed in the order issued by the Client.

5.2 The Service Provider will inform the Client periodically about the progress of the work. The parties may agree on a schedule for service delivery and a planned completion date for the services in the contract.

5.3 If the Service Provider is unable to fulfill the contractual services, they must immediately inform the Client.

5.4 The Service Provider will provide the necessary equipment and personnel for service delivery, unless the Client provides the required equipment or facilities. If otherwise agreed in the individual contract, the Client may be required to provide them.

The parties will work together to ensure a smooth and efficient workflow by providing information, advice, or experience to facilitate the performance of each party's obligations.

5.5 Either party may request changes to the agreed scope of services in writing. Upon receipt of a change request, the recipient will examine whether and under which conditions the change can be carried out and will inform the requesting party of the approval or rejection in writing and may provide reasons. If a change request from the Client requires extensive review, the Service Provider may charge for the review work, after prior notice, if the Client insists on reviewing the change request.

Any necessary adjustments to the agreed terms and services resulting from a review and/or change will be documented in a written amendment agreement and will be governed by these general terms and conditions.

6. Prices and Payment Terms

6.1 Services will be charged at the fixed price specified in the individual contract, after completion, or if compensation is based on time and materials, on a monthly basis unless otherwise agreed in the contract.

6.2 Estimated prices for services based on time and materials, especially in cost estimates, are non-binding. The quantity estimates underlying the estimate are based on a careful evaluation of the scope of services.

6.3 VAT will be charged at the applicable VAT rate at the time of the service.

6.4 Invoices are payable upon receipt without deduction. If the invoice amount is not received within 30 days from the invoice date, the Service Provider is entitled to claim late payment interest. The late payment interest is 9% per annum above the base interest rate applicable at the time of calculation.

7. Liability

7.1 The Service Provider is liable in cases of intent or gross negligence according to the statutory provisions. Liability for warranties is independent of fault. For slight negligence, the Service Provider is only liable according to the provisions of the Product Liability Act, for injury to life, body, or health, or for the violation of essential contractual obligations. However, claims for damages resulting from the slight negligence of essential contractual obligations are limited to the foreseeable, typical damage, unless liability is assumed for the injury to life, body, or health. The Service Provider is also liable for the fault of its agents and representatives to the same extent.

7.2 The provisions of the preceding paragraph (7.1) apply to damages in addition to performance, damages in lieu of performance, and claims for reimbursement of wasted expenses, regardless of the legal grounds, including liability for defects, delay, or impossibility.

8. Jurisdiction

German law exclusively applies to the business relationship between the parties.

If the Client does not have a general jurisdiction in Germany or another EU member state, the exclusive jurisdiction for any disputes arising from this contract is the business location of the Service Provider.

9. Other Provisions

Any other provisions not regulated in these GTC are subject to the general legal regulations. Changes to these GTC must be made in writing.
